مسئولیت محدود یا سهامی خاص؟

انتخاب نوع شرکت، امری حساس و حائز اهمیت است که به عوامل متعددی نظیر موضوع فعالیت شرکت، تعداد افراد عضو، میزان مسئولیت هر یک از شرکا، اهداف اعضا در آینده و… بستگی دارد. در ادامه، به جهت اطلاع کامل توضیح مختصری راجع به شرکت با مسئولیت محدود و سهامی خاص، به تفاوت های اساسی میان آن ها می‌پردازیم.

شرکت‌های با مسئولیت محدود برای چه فعالیت هایی مناسبند؟

این نوع از شرکت ها محدودیت فعالیتی ندارند و می توانند در کلیه امور بازرگانی ، مهندسی ، صنعتی ، فناوری اطلاعات و دیگر اصناف فعالیت نمایند. در مجموع ، شرکت های با مسئولیت محدود برای موضوعاتی نظیر آرایشی ، بهداشتی ، آشامیدنی ، مواد غذایی ، خرید ، فروش ، صادرات ، واردات و به طور کلی کلیه موضوعاتی که نیاز به شرکت در مناقصات و مزایدات دولتی و خصوصی ندارند بسیار مباسند.
فایده ای که شرکت های با مسئولیت محدود دارند، این است که شرکت های سهامی غالباَ احتیاج به سرمایه های مهم دارند و ناچارند شریک بیشتری داشته باشند. به این جهت مقررات زیادی درباره ی آن ها وضع شده که رعایت تمام آن ها از عهده ی اشخاصی که می خواهند شرکای  محدودی داشته باشند خارج است. بر عکس، شرکت های با مسئولیت محدود، از این قیود تا اندازه ای آزاد هستند.

شرکت‌ سهامی خاص چیست و برای چه فعالیت هایی مناسبند؟

شرکت سهامی خاص شرکتی است که، تمام سرمایه آن منحصراَ به وسیله موسسین تامین می‌شود. چون تشکیل شرکت های سهامی عام همراه با تشریفاتی طولانی است، مواد اصلاحی قانون تجارت برای امور ساده‌تری که طبعاَ شرکای کمتری دارد یک نوع شرکت سهامی مقرر داشته که بشرح فوق شرکت سهامی خاص نامیده می‌شود.

در شرکت سهامی خاص، مجمع عمومی وجود ندارد و تعداد شرکای آن کمتر از شرکت سهامی عام است. در این گونه شرکت‌ها صدور اعلامیه پذیره نویسی وجود ندارد و در بدو امر ۳۵ درصد از سرمایه باید در حساب مخصوصی سپرده شود.

سرمایه شرکت به هنگام تاسیس نباید کمتر از یک میلیون ریال باشد. تعداد مدیران حداقل ۳ نفر است. تعداد سهامداران نباید از سه نفر کمتر باشد. در شرکت سهامی خاص اوراق قرضه قابل انتشار نیست.

سهام شرکت،قابل معامله در بازار بورس نمی باشد و نقل و انتقال سهام شرکت،مشروط به موافقت مدیران یا مجامع عمومی صاحبان سهام است.ضمناَ این شرکت نمی تواند مبادرت به صدور اوراق قرضه نماید. در شرکت سهامی خاص،مسئولیت هر یک از صاحبان سهام محدود به مبلغ اسمی سهام آن ها است.تمام سرمایه آن باید به وسیله موسسین تاسیس گردد(ماده ۴ ل.ا.ق.ت) .

تفاوت شرکت با مسئولیت محدود و سهامی خاص

  • سرمایه در شرکت با مسئولیت محدود بر خلاف شرکت سهامی خاص به سهام یا قطعات سهام تقسیم نمی شود و شرکاء فقط تا میزان سرمایه خود در شرکت مسئولقروض و تعهدات می باشند .
  • در شرکت با مسوولیت محدود تعداد شرکاء حداقل ۲ نفر و در شرکت سهامی خاص تعداد سهامداران حداقل ۳ نفر می باشند.
  • در زمان تاسیس شرکت سهامی خاص حداقل ۳۵% سرمایه باید نقدا دریکی از شعب بانکها به حساب شرکت واریز و گواهی مربوطه ارائه و حداکثر ۶۵% سرمایه درتعهد سهامداران باشد . در شرکت با مسوولیت محدود باید کل سرمایه تحویل مدیر عامل شرکت شده و مدیر عامل اقرار به دریافت نماید و ارائه گواهی بانکیدال بر انجام این امر ضرورت ندارد.
  • انتخاب بازرس اصلی و علی البدل درشرکت سهامی خاص اجباری ولی در شرکت با مسوولیت محدود اختیاری است .
  • مدت مدیریت در شرکت سهامی خاص حداکثر دو سال می باشد که قابل تمدید است و در شرکت با مسوولیت محدود مدیران شرکت میتوانند برای مدت نامحدود انتخاب شوند و همچنین می توان مدتی برای مدیران در اساسنامه شرکت مقرر کرد.

از دیگر تفاوت شرکت سهامی خاص با مسئولیت محدود می‌توان به موارد زیر اشاره کرد:

  • انتخاب روزنامه کثیر الانتشار (مانند روزنامه ابرار یا اطلاعات یا …) در شرکت سهامی خاص برای درج آگهی های شرکت الزامی و در شرکت بامسوولیت محدود اختیاری است .
  • مجامع عمومی درشرکت سهامی خاص توسط هیئت رئیسه ای مرکب از یک نفر رئیس و دو نفر ناظر (هر سه از سهامداران شرکت) و یک نفر منشی اداره می گردد . در شرکت با مسوولیت محدود مجامع عمومی هیات رییسه نداشته و تنها در شرکتهایی که که تعداد شرکا ء آن از ۱۲نفر بیشتر باشد مجامع عمومی توسط هیئت نظار اداره خواهد شد .
  • اعضای هیات مدیره در شرکت سهامی خاص الزاما بایستی سهامدار باشند در صورتیکه مدیران در شرکت با مسوولیت محدود از بین شرکاء یا از خارج شرکا انتخاب می شوند .
  • سود در شرکت سهامی خاص به نسبت تعداد سهام و در شرکت با مسوولیت محدود به نسبت سرمایه شرکاء تقسیم خواهد شد ودر شرکت با مسوولیت محدود شرکا می توانند در اساسنامه ترتیب دیگری برای تقسیم سود مقرر دارند .
  • حق رای در شرکت سهامی خاص به تعداد سهام و در شرکت با مسوولیت محدود به نسبت سرمایه خواهد بود .
  • استفاده از سهم الشرکه غیر نقدی (مانند ملک یا خودرو) در شرکت با مسوولیت محدود توسط شرکاء و با مسوولیت آنها صورت می گیرد در حالیکه ارزش گذاری آورده غیر نقدی در شرکت سهامی خاص با کارشناسان رسمی دادگستری خواهد بود .

از معایب شرکت با مسئولیت محدود می‌توان به موارد ذیل اشاره کرد:

  • چون مسئولیت شرکا در حد سهم الشرکه آن‌ها می‌باشد گاهی ممکن است که اشخاص برای فرار از مسئولیت و عدم اجرای تعهدات خود این نوع شرکت را تشکیل می‌دهند.
  • پذیره نویسی و پرداخت تمام سهم الشرکه صوری می‌باشد و همچنین ورقه‌ای برای سهم الشرکه به صورت اوراق تجارتی قابل نقل و انتقال صادر نمی‌گردد.
  • همچنین نقل و انتقال سهام آزادانه صورت نمی‌گیرد بلکه موکول گشته است به رضایت عده‌ای از شرکا که لااقل سه چهارم سرمایه را داشته باشد. اکثریت محدودی را نیز دارا باشد. همچنین این نقل و انتقال باید به موجب سند رسمی باشد. (ماده ۱۰۳ قانون تجارت)
  • از خصوصیات دیگر شرکت علاوه بر آزادانه نبودن انتقال سهم الشرکه و محدودیت مسئولیت شریکان می‌توان به موارد ذیل اشاره کرد:
  • چون شرکت سرمایه می‌باشد نه شخص پس با فوت یا ورشکستگی و یا محجوریت شرکا، شرکت منحل نمی‌گردد.
  • همچنین در اسم شرکت باید حتماَ عبارت با مسئولیت محدود قید گردد تا کسانی که با شرکت معامله می‌کنند متوجه این موضوع باشند که با شرکتی معامله می‌کنند که مسئولیت محدود به سرمایه‌اش است. (ماده ۹۵ قانون تجارت)
  • مطابق ماده ۱۱۲ قانون تجارت هیچ شریکی را نمی توان مجبور به ازدیاد سهم الشرکه خود نمود و این کاملاَ منطقی و در تایید اصل پذیرش اراده سرمایه گذار در افزایش سرمایه می‌باشد.

آیا شرکت با مسئولیت محدود می‌تواند در مناقصات شرکت کند؟

شرکت‌های با مسئولیت محدود معمولاً قادر به شرکت در مناقصات دولتی نیستند. در صورتی که شرکت دارای گواهینامه‌های لازم از مراجع ذی‌ربط مانند گواهینامه صلاحیت پیمانکاری یا ایمنی باشند می‌توانند در مناقصات شرکت کنند.

تشابه‌های شرکت با مسئولیت محدود و شرکت سهامی خاص

  • حداقل سرمایه برای ثبت شرکت با مسوولیت محدود و سهامی خاص یک میلیون ریال است .
  • در شرکت سهامی خاص و بامسوولیت محدود شرکت در افزایش سرمایه اختیاری است.
